    • Seller is not responsible for the accuracy of any take-offs.

    • Buyer shall verify SCOPE OF WORK & PRODUCT DESCRIPTION sections listed in this Quote satisfy their project requirements.

    • Seller bears no responsibility to include ALL items or components listed in the contract drawings or specifications.

    • Submittals are unique to each project and will not begin until signed Quote is returned.

    • Production Lead Time will not begin until the Submittals are signed as approved by Buyer.

    • Seller will manufacture the product(s) in strict conformance with the approved Submittals, therefore it is imperative that Buyer confirms the Submittals meet the needs of the Buyer or any end user regarding their project requirements.

    • Buyer may request Change Order(s) for design, quantities, inclusions, etc. Change Order(s) will need to be executed, and paid if necessary, prior to continuation of work.

    • Seller reserves the right, during Submittals, to modify any product due to material limitations and manufacturing methods.

    • Submittals will be limited to (3) three revisions.

    • Additional revisions may be billed at $125/hour and a Change Order may be required.

    • Responses or revisions by Seller will be completed in a timely manner (typically within 1 week).

    • Seller shall not be liable for any delays in schedule due to the review and approval process.

    • If requested, Seller includes up to (3) 3" sample cubes of PUI standard colors and/or texture with order. See PUI website under "resources" for our standard colors & texture options.

    • If extra samples are requested, they may be purchased at an additional cost.

    • Change order may be necessary if approved sample differs from what is listed under PRODUCT DESCRIPTION.

    • Unless otherwise negotiated, storage of completed products at Seller's facility for more than 30 days past the quoted Production Lead Time shall be billed to Buyer at a rate of $75 per day.

    • Buyer is responsible for offloading, including all necessary equipment, rigging, and labor.

    • Each scheduled delivery affords a 2-hour period from arrival or appointment time, whichever is later, to offload the product(s). Additional time beyond the 2-hour window will be billed to Buyer at a rate of $100.00 per hour.

    • Site must be accessible by 75ft tractor-trailer combination. Roads must have suitable compaction and clear exit route. Seller not responsible for any site damage. Driver reserves the right to refuse delivery for unsuitable site conditions. Re-delivery fee may apply.

    • Seller requires minimum notice of 3 business days from Buyer to request, change, or cancel any delivery. Change or cancellation may result in a "Truck Not Used" fee of $250.00.

    • Buyer shall be responsible for all permits/fees necessary at site if required.

    • Buyer is responsible for inspecting all products for damage promptly upon arrival of delivery. If damage is discovered upon arrival, contact Seller immediately. Damages must be documented by photograph prior to offloading. Failure to photograph and document the damaged product(s) prior to offloading is grounds for Seller to reject any claim for compensation, replacement, or repair.

    • Any damage to product(s) caused during offloading is the responsibility of Buyer.

    • Bill(s) of Lading (BOL) must be signed by Buyer. Signature on BOL serves as confirmation of items/quantities delivered and condition of product upon arrival. Additional charges may apply to replace items listed on BOL that were missed during offloading.

    • If discrepancies in quantities (items missing from either the BOL or load) are discovered, Buyer must notify Seller within the 2-hour offload window and make clarifying comments on physical BOL prior to signing.

    • If payment terms are COD and a check is not available at time of delivery, Seller has the right refuse delivery at Buyer's expense.

    • Final Acceptance is defined as confirmation that all products are accurate to the approved Submittals and Sample (if applicable).

    • Buyer must confirm final acceptance of product(s) prior to installation or within 1-week of delivery.

    • Seller is not liable for any product deemed unacceptable/rejected more than 1-week from delivery date.

    • In the event of inaccurate product(s), Seller reserves the right to review, at it's sole discretion, repair, replace, or credit the value of said product(s).

    • Installation is deemed acceptance of the product(s). 

    • The product(s) purchased new are guaranteed free from defects in materials or workmanship for a period of one (1) year from the date of delivery. Vandalism, normal wear and tear excluded.

    • Seller is not responsible for physical damage after offloading.

    • In the event of a claim for defective product(s), Seller shall be allowed to inspect the product(s) in its defective state as discovered by Buyer, and failure to preserve the product(s) in such state may operate as a waiver of any warranty and/or liability claim against Seller.

    • In the event of defective product(s) deemed to be the responsibility of the Seller; the Warranty is limited to replacement of the product(s). However, Seller reserves the right, in sole discretion, to credit to Buyer the value of the product(s) in lieu of replacement.

    • In no event shall Seller be liable to Buyer for anything beyond the replacement or credit as set forth herein, including but not limited to any installation charges, removal charges, special damages, general damages, or damages arising from loss of use of the product(s).

    • Installation of incorrect or damaged product(s) waives all rights of a warranty claim.

    • In any action brought to enforce the terms of this Quote or any breach thereof, the prevailing party shall recover reasonable attorney's fees and costs.

    • This Quote and all rights and obligations of the parties shall be governed by the California law and any action brought to enforce this Quote shall be filed and litigated through settlement, dismissal or judgment, through a California State Court of competent jurisdiction.

    • Any excise, levies, or taxes which Seller may be required to pay or collect under any existing or future law, with respect to the sale, purchase, delivery, storage, processing, use, or transportation of any material covered hereby shall be the responsibility of Buyer, and Buyer agrees to pay such excise, levy, or tax to Seller.
